Terms of Service

These Terms of Service ("Terms") govern access to and use of websites, applications, APIs, and related services (the "Services") provided by Signal and Sensor Systems LLC ("SIGSEN Systems," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

You must provide accurate registration information and keep credentials confidential. You are responsible for activity under your account. We may suspend or terminate accounts that violate these Terms, present security risk, or are inactive.

You agree not to:

• Use the Services unlawfully or in violation of others' rights;
• Attempt unauthorized access, probe, or disrupt systems or networks;
• Reverse engineer, scrape, or overload the Services except as permitted by law or written agreement;
• Upload malware or harmful content; or
• Misrepresent your identity or affiliation.

Specific products (including platforms such as TerraFab and related APIs) may be subject to additional product terms, documentation, rate limits, and acceptable-use rules. The Services may rely on infrastructure and delivery providers, including Cloudflare and Google-related services. Availability of third-party networks and services is outside our exclusive control.

The Services, including software, branding, documentation, and content we provide, are owned by Signal and Sensor Systems LLC or its licensors. We grant you a limited, non-exclusive, non-transferable license to use the Services as permitted under these Terms and any applicable subscription. You retain rights to content you submit; you grant us a license to host and process that content as needed to provide the Services.

Paid offerings are billed according to the plan or order you accept. Fees are generally non-refundable except where required by law or expressly stated. We may change pricing with notice for renewals or as allowed by your agreement.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNAL AND SENSOR SYSTEMS LLC AND ITS AFFILIATES, OFFICERS, AND EMPLOYEES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR USD $100 IF YOU HAVE NOT PAID FEES).

You will defend and indemnify Signal and Sensor Systems LLC against claims, damages, and expenses arising from your misuse of the Services, your content, or your violation of these Terms or applicable law.

These Terms are governed by the laws of the State of Minnesota, USA, without regard to conflict-of-law rules. Exclusive venue for disputes lies in the state or federal courts located in Minnesota, unless a separate written agreement provides otherwise. You consent to personal jurisdiction in those courts.

We may modify these Terms by posting an updated version. Material changes will be indicated by updating the “Last updated” date. We may suspend or discontinue the Services. Provisions that by nature should survive (including intellectual property, disclaimers, limitations, and indemnity) will survive termination.
